This Purchase Agreement (“Agreement”) is entered into between the purchaser (“Buyer”) and The Clean Edge Lab (“TCE”, “Seller”) and governs every order placed through thecleanedgelab.com. By submitting an order, Buyer agrees to be bound by this Agreement together with our Terms of Use and Shipping Policy.
1. Buyer representations & warranties
By placing an order, Buyer represents and warrants that:
- Buyer is at least 21 years of age and possesses the legal capacity to enter into this Agreement;
- Buyer is a qualified researcher, scientific institution, contract research organization, or commercial entity engaged in laboratory research;
- Products will be used solely for laboratory research and not for human or veterinary use;
- Buyer is not currently subject to U.S., EU, UK, or UN sanctions, and is not located in a sanctioned jurisdiction;
- The information provided during checkout is accurate and complete.
2. Restricted & prohibited use
Buyer expressly agrees not to:
- administer products to humans or animals;
- compound, package, repackage, or distribute products as drugs, supplements, cosmetics, or food;
- resell products to consumers, fitness retailers, or unverified third parties;
- make any therapeutic, diagnostic, or health-related claims about products;
- use products in any clinical trial or study involving human subjects.
3. Limited warranty
TCE warrants that each shipped product will, on the date of delivery, conform to the specifications on its Certificate of Analysis. Buyer must inspect goods and report any non-conformity in writing within seven (7) calendar days of delivery. This is Buyer’s sole and exclusive remedy.
EXCEPT AS EXPRESSLY STATED, TCE DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
4. Returns & refunds
- Due to the nature of research chemicals, opened or temperature-uncontrolled products are non-returnable.
- Unopened, sealed product may be returned within 14 days for a refund less a 20% restocking fee, subject to inspection on receipt.
- Refunds are issued to the original payment method within 10 business days of approval.
- Lots that fail the limited warranty (Section 3) will be replaced or refunded at TCE’s option.
5. Title & risk of loss
Title and risk of loss pass to Buyer upon transfer to the carrier (FCA — Miami, FL or Frankfurt, DE, Incoterms® 2020), unless otherwise agreed in writing.
6. Payment
Orders are payable in full at checkout in U.S. dollars or, for German deliveries, Euro, via the payment methods displayed at the time of purchase. TCE does not store full card details; payment processing is handled by PCI-DSS-compliant providers.
7. Limitation of liability
TCE’S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNT PAID BY BUYER FOR THE PRODUCT GIVING RISE TO THE CLAIM. TCE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA, OR REPUTATIONAL HARM.
8. Indemnification
Buyer shall indemnify, defend, and hold harmless TCE, its affiliates, and personnel from any claim, loss, or expense arising from Buyer’s breach of this Agreement, misuse of products, or violation of law.
9. Force majeure
Neither party is liable for failure or delay caused by events beyond its reasonable control, including natural disasters, government actions, carrier failures, pandemics, or supply-chain disruptions.
10. Governing law & venue
This Agreement is governed by the laws of the State of Florida, USA (for U.S. shipments) or the Federal Republic of Germany (for EU shipments). Exclusive jurisdiction is in Miami-Dade County, FL or Frankfurt am Main, DE respectively.
11. Entire agreement
This Agreement, together with the Terms of Use and Shipping Policy, constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior communications.
